2. What We Do (And Don't Do)

We Are a Commercial Financing Broker and Consultant

Seaport Funding Group is a commercial financing brokerage and consulting firm. We connect business owners with third-party financing providers and help businesses explore potential funding options. We are not a bank, credit union, or direct lender. We do not make financing decisions, extend credit, or provide funding ourselves. Any financing you receive comes from an independent third-party provider—not from us.

Commercial Purposes Only

Our services are exclusively for business and commercial purposes. We do not offer, arrange, or broker any consumer products or financing for personal, family, or household use. If you're seeking financing for personal purposes, our services are not for you.

When you work with us, we may:

• Help you gather and organize information for financing requests

• Introduce you to third-party financing providers

• Help you compare and understand offers you receive

• Provide general business consulting related to financing options

Credit Checks and Decisions

We do not pull credit reports or conduct credit checks ourselves. When we submit your information to a third-party provider, that provider may conduct inquiries as part of their own review process. All financing decisions and determinations are made exclusively by the third-party provider—not by us.

Provider Disclosures

All required disclosures, notices, and agreements related to financing come from the third-party provider—not from us. You'll receive these directly from the provider before you're obligated under any financing arrangement. Please review all provider documents carefully before signing anything.

3. Who Can Use Our Services

To use our services, you must:

• Be at least 18 years old

• Be a U.S. resident with a valid SSN, EIN, or ITIN

• Be an authorized representative of a business seeking commercial financing

• Have legal authority to bind that business to agreements

You agree to provide accurate, current, and complete information during the application process and to update it as needed.

4. Your Authorization

When you request our help obtaining financing, you authorize us to collect business and financial information from you and submit it to third-party financing providers for their review. You understand these providers may use your information to conduct their own analysis. When you submit a funding application, you'll be asked to provide additional specific consent about how your information is shared.

5. No Guarantees

Nothing we say or show you is a guarantee of financing. Any descriptions of products, sample terms, or "pre-qualification" information are illustrative only—they're not offers or commitments. All financing is subject to formal review and approval by the applicable third-party provider, based on their own standards and requirements. Products, terms, and eligibility can change at any time without notice. Approval is not guaranteed, and not all applicants will qualify.

6. Consulting Disclaimer

All information we provide, whether on our website, in written materials, or through discussions with our team, is for general informational purposes only and is intended to help you understand potential commercial financing options. Our services do not constitute legal, tax, accounting, financial planning, investment, or other professional advice, and should not be relied upon as such. You should consult your own attorney, accountant, or other appropriately licensed professional advisor regarding your specific legal, tax, financial, or other professional questions before entering into any financing or related arrangement.

7. How We'll Contact You

Consent to Communications

By providing your contact information and using our services, you consent to be contacted by Seaport Funding Group about your funding inquiry, related financing options, and other Seaport Funding Group products and services via phone (including through an automatic telephone dialing system and/or pre-recorded or artificial voice messages), email, and text message (SMS/MMS) at the contact information you provide.

You understand that:

  • Providing your contact information and using our services serves as your written consent to receive these communications

  • Your consent is not required as a condition of purchasing any goods or services

  • You may receive text messages, and message and data rates may apply

  • You can opt out of marketing communications at any time by replying STOP to text messages, clicking unsubscribe in emails, or contacting us at privacy@seaportfunding.com or calling toll-free at (833) 326-FUND (3863)

  • Your consent remains in effect until you revoke it using one of these methods

  • Opting out of marketing communications will not limit our ability to contact you for non-marketing purposes as permitted by law, including communications necessary to service your application or fulfill our brokerage services

Required Service Communications

While you can opt out of marketing at any time, we may still need to contact you regarding your active application, documentation requests, offer details, and other service-related matters necessary to perform our brokerage services. These service communications are separate from marketing and cannot be opted out of while you have an active inquiry or application with us.

8. Electronic Communications

You agree that disclosures, notices, and agreements related to our services may be provided electronically. You can request paper copies by contacting us. If you withdraw consent to receive electronic communications, some services may become unavailable or slower.

9. Service Availability

Seaport Funding Group works with business owners across the United States, subject to applicable federal, state, and local laws, and subject to product and provider availability in each jurisdiction. Certain products or services may not be available in all states or may be subject to specific regulatory requirements in certain jurisdictions. The availability of our services and the products we can help you access depends on where your business operates and the applicable laws in that location. 10. Using Our Website

Use our site only for lawful business purposes. Don't:

  • Use bots, scrapers, or automated tools to access or collect information

  • Try to circumvent security measures

  • Upload malware or harmful code

  • Submit false or fraudulent information

  • Do anything that could damage or impair the site

  • We can disable or terminate your access at any time, for any reason.

11. Our Intellectual Property

All content on our site—text, data, design, logos, and other materials—belongs to us or our licensors and is protected by copyright law. We don't guarantee that our site will be uninterrupted, secure, or error-free, or that you'll obtain any particular results. We may change or discontinue the site at any time without notice. 15. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL MILFORD CORPORATION, SEAPORT FUNDING GROUP, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS, INDEPENDENT CONTRACTORS, CONSULTANTS, OR AFFILIATES BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR COSTS, INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR DAMAGES ARISING FROM THIRD-PARTY FINANCING PROVIDERS' ACTIONS OR DECISIONS, ARISING OUT OF OR RELATING TO THESE TERMS, ACCESS TO, USE OF, OR THE OPERATION OF OUR SITE OR SERVICES. YOUR SOLE AND EXCLUSIVE REMEDY SHALL BE TO DISCONTINUE YOUR ACCESS TO OR USE OF THE SITE. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

Nothing in this section limits liability for fraud, willful misconduct, gross negligence, or any other liability that cannot be limited under applicable law. In the event state law does not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the fullest extent permitted by law. You agree that any cause of action arising out of or related to Seaport Funding Group, our website, or our services must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

16. Indemnification

You agree to indemnify, defend, and hold harmless Seaport Funding Group, Milford Corporation, and their respective officers, directors, shareholders, employees, agents, independent contractors, consultants, and affiliates from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, for any claims, causes of action, procedures or allegations arising out of or relating to: (a) any violation of these Terms; (b) your use of the website or services; (c) infringement of third-party intellectual property rights; or (d) negligent or wrongful conduct by you or any other person accessing our site on your behalf. Seaport Funding Group reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to defense by you.

17. Disputes and Governing Law

These Terms are governed by California law. 

Before filing any lawsuit, you agree to first attempt to resolve disputes informally by providing written notice to Seaport Funding Group, 501 W Broadway, Suite 800, San Diego, CA 92101, or compliance@seaportfunding.com, and engaging in good-faith negotiation for thirty (30) days. Either party may pursue claims in small claims court if eligible, where jurisdictionally appropriate. Otherwise, any legal action must be filed exclusively in the state or federal courts in San Diego County, California, and you consent to their exclusive jurisdiction and venue. In any action to enforce these Terms, the prevailing party will be entitled to recover reasonable attorneys' fees and costs.

18. Changes to These Terms

We may update these Terms at any time by posting revised Terms on our site and updating the effective date. Your continued use after changes constitutes your agreement to the new Terms.

19. General

Relationship to Other Agreements

These Terms govern your use of our website and general relationship with Seaport Funding Group. When you submit an application or engage our services for a specific transaction, you may be asked to agree to additional terms, consents, or agreements. Those additional agreements will govern the specific services or transactions they cover and are not superseded by these Terms. In the event of a conflict between these Terms and any other agreement you enter into with us, the other agreement will control with respect to the subject matter it covers.

Other General Provisions

If any provision of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any right isn't a waiver. You can't assign these Terms without our written consent; we can assign them freely. Nothing here creates an agency, partnership, or employment relationship between us.
